ARTICLE 1 – PURPOSE
These Bylaws are intended to set out the terms of article 20 of the Articles of Association of the DOMAINE DES ANDÉOLS and to define the rules that apply to the Association's internal workings so that each member may be cognizant of his/her rights and the scope of his/her duties.
All members of the Association are under an obligation to abide by these Bylaws, just as they shall comply
with the Articles of Association, bearing in mind that these Bylaws supplement certain rules on organisation and operation prescribed in the Articles of Association.
ARTICLE 2 – MEMBERSHIP APPROVAL
Any person, other than those persons co-opted by the Chairman, who wishes to become a member of the Association must submit an application for membership expressing their intention to become a member
of the Association. Applications must be sent to the Chairman of the Association, stating the applicant’s
full name, address, profession, and marital status.
Applications must state the reasons for wishing to become a member and must provide all information on
the applicant’s personality and attachment to the values defined under Purpose of the Articles of Association.
Furthermore, applicants must expressly acknowledge that membership entails the obligation to abide by all regulations governing life at the DOMAINE DES ANDÉOLS, i.e. the Articles of Association as well as these Bylaws.
Applicants may be sponsored by a member of the Association.
Pending a decision by the Board of Directors regarding an application received, Management may exceptionally invite the applicant to come for a stay so as to discover the location, provided that the applicant abides by these Bylaws just like any other member.
ARTICLE 3 – REGISTRATION
Upon receipt of a letter from the Chairman of the Association announcing approval of membership, the applicant has one (1) month to perform registration formalities, pay membership dues, and comply with all administrative and practical requirements entailed by membership of the Association.
ARTICLE 4 – MEMBERSHIP DUES AND ANNUAL FEES
Each year, the Board of Directors shall set the rates for membership dues and incidental fees for the forthcoming year.
Membership dues and other annual fees are called up at least fifteen (15) days before the start of the corporate year. Any changes with respect to the Articles of Association and the related services for a member requires a written request to be made to the Chairman before 1 December, failing which members dues called up shall be due and payable in full.
Membership dues and other annual fees must be settled during the course of the first month of the corporate year.
Regarding memberships approved as of 1 May during the course of the corporate year, reductions may be granted proportionately to the number of months lapsed during the calendar year.
In the event of expulsion, demise, or resignation, no membership due shall be payable unless such membership due has already been paid.
ARTICLE 5 – SERVICES
5.1 Each member of the Association may stay at the DOMAINE DES ANDÉOLS and, on each stay, is entitled to book a reservation for one, two, four, or six persons at the most, in view of staying for a weekend, one week, or one month, in one of the nine (9) houses located on the Domain:
- Maison de l’Artiste for two to four persons,
- Maison des Amoureux for one to two persons,
- Maison Blanche to four persons,
- Maison de Toujours for two to four persons,
- Maison des Cascades for two to six persons,
- Maison du Voyageur for two to four persons,
- Maison Rouge for two to four persons,
- Maison des Terrasses for two to four persons,
- Maison des Lointains for two to four persons.
Interested members must see to it that they book their stay well in advance.
Actual booking of each stay shall be contingent upon availability. The management in charge of the Domain shall, at its full discretion and depending on its own constraints, organise stays for the members of the Association without any possible recourse against its decisions.
Upon registration of each stay, the member in question shall fully pay up administrative expenses for the stay
in keeping with the terms and conditions prescribed by the Board of Directors at the start of each season and
to be upheld by the member in question.
These stays are reserved exclusively for those members of the Association who have fully settled their membership dues and who have neither resigned nor been expelled, as well as for such members’ family
or friends accompanying them at each stay.
These flat rates shall include all services in connection with accommodations and catering.
During their stay, each member shall also benefit from all other services offered on the Domain, walks
in vineyards or olive groves, art exhibition, swimming pool, meeting places, etc.
5.2 On the occasion of any events and especially artistic or cultural events organised during their stay on the Domain, and which a member is invited to attend, the member shall respect the organisers, artists, and participants and abide by the recommendations and guidelines set by Management particularly with regards
to safety.
ARTICLE 6 – INTERNAL DISCIPLINE
The members of the Association must show absolute care for the premises and the works of art exhibited on the Domain and in the House reserved for them.
Members shall respect everyone’s wish for silence and well-being and behave in keeping with the rules of polite society.
Members shall be mindful of the environment and the layout on the premises and must abide by all recommendations and guidelines given on the premises by the Management of the Domain.
Members shall seek at all times to share and to allow their guests as well as other members to reap the benefits of their richness, gifts, as well as their intellectual and artistic talents.
Members undertake to keep strictly confidential all information on the personality of the members with whom they are in contact, and regarding any exchanges they may have had with other members or with members of the Board of Directors or Management of the Domain.
Members shall show care regarding furniture and works of art located on the Domain. They shall not infringe upon copyright by reproducing or circulating, on any medium whatsoever, the works of art exhibited in the various premises on the Domain without approval of the copyright holder or the approval of the Board of Directors.
Members shall be liable for any damages caused to these works as well as for theft.
Members shall not be offensive, slanderous, libellous, or disparaging with respect to other members or guests of the Domain.
Members shall refrain from any commercial undertakings on the Domain.
Gambling is prohibited.
Motor vehicles shall be parked only in those areas reserved for that purpose.
Service vehicles are sole entitled to drive within the domain.
Members shall be accountable for persons in their custody, especially within the Houses and around the swimming pools. The Association shall be held harmless in the event of any accident occurring under these circumstances.
ARTICLE 7 – DISCIPLINARY COMMISSION
The Board of Directors shall determine the terms and conditions whereby each member shall uphold the Articles of Association and these Bylaws.
As laid down in the Articles of Association, the Board of Directors shall, at its full discretion, take all steps in this connection, especially with regards to the expulsion of a member under the terms and conditions specified in the Articles of Association.
ARTICLE 8 – ESTABLISHMENTS COLLABORATING WITH DOMAINE DES ANDÉOLS
In view of organising each member’s stay, the Association has entered into agreements with establishments in charge of catering and accommodations in particular.
Each member undertakes to abide by the applicable rules at each location.
Members also pledge to fully settle flat-rate fees for the stay, on first demand by the Board of Directors. Such payments shall be made not to the Association but directly to the establishment concerned, in keeping with the instructions given to members.
